● Introduction
These terms and conditions set out the basis on which Firefly at Silverlake (the "Club"), operated by Falco 1 Ltd, provides membership to you. Please read them carefully before applying for membership. By becoming a member you agree to be bound by them.
These terms and conditions are divided into two parts:
Part A Membership Terms and Conditions: these apply to all members, including adult members, child members, and anyone linked to a membership.
Part B Rules and Regulations for Using the Club: these apply to all members and their guests, and are designed to ensure a safe, enjoyable environment for everyone.
These terms and conditions apply at all times and take priority over any verbal statement made by a member of our team. They replace any earlier version.
If you have any questions, please speak to a member of the team at the Club.
PART A MEMBERSHIP TERMS AND CONDITIONS
Definitions
"You" or "Lead Member" — the primary member who signed the membership application.
"Linked Member" — any person linked to your membership.
"Your Entire Membership" — your membership together with the membership of all Linked Members.
"We", "Us" or "the Club" — Firefly at Silverlake, operated by Falco 1 Ltd.
A1. Responsibilities of Lead Members and Linked Members
Every person who signs the membership application is jointly and individually responsible under this agreement. This means that:
if the lead member instructs us in relation to the membership (including giving notice to end it), we will treat that as authorisation on behalf of all joint members; however, only the lead member may give notice to cancel the membership
Each of those persons is responsible for paying all applicable membership fees for themselves, for all others who have signed the application, and for all Linked Members; and
Each of those persons is responsible for any additional charges arising from the use of facilities or services not included in the membership category, whether incurred by themselves, any co-signatory, a Linked Member, or a guest.
Responsibility for the fees and charges of a Linked Member continues until that link is removed in accordance with Section A8 or the Linked Member gives valid notice to end their membership in accordance with Section A14.
These terms and conditions apply to you and all Linked Members unless we inform you otherwise. All members must comply with the rules set out in Part B.
A2. Notice
We calculate membership in whole calendar months. The following rules apply throughout these terms and conditions:
Where notice of one calendar month or more is required, if we receive your notice during a month, it will be treated as received on the first day of the following month, and the notice period runs from that date. If we receive your notice on or before the fourth day of a month, it will be treated as received on the first day of that month. Example: if you must give one month's notice and we receive it on 23 May, it is treated as received on 1 June, your notice period runs until 30 June, and your membership ends on 30 June.
Notice must be given in writing by one of the following methods:
- by email to the Club's designated email address;
- by post to the Club's registered address; or
Contact details are available at the Club's reception and on the Club's website.
We will acknowledge receipt of your notice within 10 days. If you do not receive confirmation within that period, please contact us immediately.
It is your responsibility to keep us informed of any changes to your postal address, telephone number or email address. Notices we send to the contact details we hold for you will be treated as validly given.
A3. Membership Categories
You are entitled to use the facilities available under your chosen membership category. Details of the facilities and any restrictions applicable to each category are available from the Club's reception or on our website.
Not all membership categories may be available at all times. We reserve the right to withdraw a category of membership, in which case existing members in that category will be given reasonable notice and offered a suitable alternative.
Children or grandchildren must be formally linked to an adult membership before they may enter the Club. We require consent from the person with parental responsibility for any child before that child may use the Club's facilities. A child's membership fee is based on their age and will be adjusted from the month following each birthday. When a child turns 18, they become an independent adult member and must sign a new agreement in their own right.
If you have a disability and require assistance to use the Club's facilities, you may link your assistant to your membership or sign them in as a guest at no additional charge. The assistant may only use the facilities in the course of assisting you.
A4. Membership Types and Duration
A4.1 Founding Annual, Standard Annual and Standard Annual Joint
Your membership begins on the date your application is accepted.
Your membership runs for an initial period of at least 12 full calendar months and continues thereafter on a rolling basis until terminated by either party in accordance with these terms.
To end your membership after the initial period, you must give us at least three full calendar months' written notice in accordance with Section A2.
To end your membership at the conclusion of the initial period, you may give one calendar month's notice, provided we receive it no later than the first day of the final calendar month of your initial period. We will write to you towards the end of your initial period to remind you of this.
Your minimum financial commitment is to pay for the first 12 full calendar months of membership, together with any part-month payment at the start of your membership (see Section A5).
A4.2 Founding Monthly, Standard Monthly and Standard Monthly Joint Membership (DD)
Your Flexible Membership begins on the date your application is accepted.
Your Flexible Membership runs for an initial period of at least three months and continues thereafter until terminated by either party giving at least one full calendar month's written notice in accordance with Section A2. Your minimum financial commitment under Flexible Membership is to pay for the first three full calendar months of membership, together with any part-month payment at the start of your membership.
To end your Flexible Membership at the close of the initial period, you may give one calendar month's notice at any time up to the first day of the third month of your membership.
You may switch from Flexible Membership to a Standard membership type at any time, subject to availability at the Club. One month's written notice is required. A new initial period and revised fees will apply from the date of the switch.
A5. Starting Your Membership
A joining fee of £199 may be payable upon application, subject to membership type.
You will be required to pay a pro-rata amount to cover your membership from the date you join until the end of that calendar month.
Upon joining, all members and Linked Members will be required to have their photograph taken for identity verification purposes.
You have a right to cancel your membership within 14 days of your application date by giving written notice to the Club. If you or any Linked Member uses the Club's facilities during this cancellation period, a proportionate charge will apply for that usage and any balance of fees already paid will be refunded.
A6. Membership Fees
Standard Annual Membership fees are due annually in advance and cover the forthcoming 12-month period.
Standard Monthly fees are due on the first day of each month and cover that month. Payment must be made by direct debit unless we agree otherwise in writing.
Where you pay by direct debit, we will request payment from your bank on or around the first working day of each month.
A7. Membership Cards and Access Tokens
We will issue you and any Linked Members (except children under three years of age) with a membership card or access token as soon as reasonably practicable following your application. This must be presented each time you enter the Club. Your membership card or access token grants access to the Firefly facility only and does not permit entry to any other areas of the Silverlake estate. We may refuse entry without a valid card or token.
If you lose your membership card each further replacement card will incur an administration fee of £10.
Your membership is personal to you and may not be transferred to any other person. You must not lend your card or access token to another person. We may ask for additional proof of identity before permitting entry.
If another person is found to have used your membership card or token, we reserve the right to cancel your membership under Section A14.
A8. Changing Your Membership Category or Linked Members
You may apply to change your membership category at any time after the conclusion of your initial period by contacting us. You may be required to provide evidence of eligibility for the new category. Fees will change to those current at the time of the change.
To add an adult Linked Member to your membership, that person's written consent is required.
Either you or a Linked Member may request that the link between memberships is removed. If the departing Linked Member also wishes to end their membership, they must give the appropriate period of notice.
Changes to your monthly payments arising from the addition or removal of a Linked Member will take effect from the first day of the month following the change, provided we receive notice of the change by the twentieth of the preceding month.
A9. Additional Charges
Certain facilities and services may be subject to additional charges. Charges will be displayed at the Club's reception and on our website.
If you or a Linked Member uses a chargeable facility or service and does not pay at the time, the amount owed will be charged to your payment card or, where this is unavailable, collected by direct debit.
A10. Guests
You and any adult Linked Member may bring guests to the Club, subject to the following conditions:
- Guests must be signed in at reception before using the Club.
- The member introducing the guest must remain at the Club throughout the guest's visit.
- The member is responsible for ensuring that guests are aware of and comply with the rules in Part B.
Each guest must pay the applicable guest fee or present a valid guest pass. Current guest fees are available at reception.
The same adult guest may be signed in no more than twelve times in any 12-month period, and no more than twice in any single month.
You and each adult Linked Member may sign in no more than six guests at any one time, reduced to two guests at any one time during peak periods (defined as school holidays and bank holidays).
If you, a Linked Member, or a guest breaches these guest rules, we may require payment of the full guest fee and withdraw the right to bring guests for a period of up to three months.
Guests may only use the facilities available under your membership category.
A11. Suspending Your Membership
You may suspend your membership once in any 12-month period, for a single unbroken period of up to one calendar month, provided you have not already given notice to end your membership.
To request a suspension, you must notify us in writing, stating the proposed start date and duration.
The suspension takes effect from the first day of the month following our receipt of your request. You will not be permitted to use the Club while your membership is suspended. If you are found to have used the Club during a suspension, your membership will immediately resume and all fees for the suspended period will become due.
During a suspension (other than a medical suspension), a reduced monthly charge of 25% of your monthly fee applies to adult memberships paying by monthly Direct Debit. If you pay your membership fee annually, no charge applies during the suspension; instead, your paid membership term will be extended by a period equal to the length of the suspension. No fee applies to suspended child memberships.
If you are unable to use the Club due to a medical condition (excluding pregnancy, unless a medically certified condition arises during pregnancy), you may request a medical suspension with no monthly charge. Satisfactory medical evidence must be provided.
If a suspension begins during your initial period, the initial period will be extended by the duration of the suspension.
Your membership will automatically resume at the end of the agreed suspension period. Suspension does not terminate your membership.
A12. Ending Your Membership
If your membership has no Linked Members, only you may give notice to end it.
Where Linked Members exist:
- Notice given by the Lead Member will be treated as applying to the entire membership unless stated otherwise.
- A Linked Member who signed the application form may give notice on behalf of the whole membership unless they specify otherwise.
- Individual adult Linked Members may give notice to end their own membership only.
- The Lead Member may give notice to end the membership of an individual Linked Child.
The applicable notice periods are set out in Section A4. Membership fees remain payable throughout the notice period. You and all Linked Members must not use the Club after the membership end date.
A13. Ending Your Membership Early
A13.1 Early Termination on Specified Grounds
You may end your membership before the expiry of your initial period or notice period if any of the following circumstances apply:
- you are unable to use the Club's facilities due to a medical condition (excluding pregnancy, unless a medically certified condition arises during pregnancy);
- you have lost your employment or been declared insolvent;
- you are relocating for employment purposes to a location more than 30 miles from the Club;
- you are moving your primary residence to a location more than 30 miles from the Club; or
- we are satisfied that another material change in your personal circumstances makes it unreasonable for you to continue your membership.
To exercise this right, you must give written notice to the Club in accordance with Section A2, together with satisfactory supporting evidence. Your membership will end on the last day of the month in which we receive whichever is later: your written notice or the required evidence.
A13.2 Early Termination Following a Fee Increase
You may end your membership if we increase your membership fee by more than 10%. In that event, you must give written notice in accordance with Section A2. The notice period is one calendar month for Flexible Membership, or the applicable notice period for other membership types. Where the notice we give you of the increase is shorter than your required notice period, you may end your membership by written notice expiring on the date the new rates take effect.
A13.3 Early Termination Following Significant Changes to the Club
You may end your membership if we give notice of any of the following:
- a permanent change to the location of the Club;
- permanent closure of the Club; or
- permanent withdrawal of the pool or entire gym.
Written notice must be given in accordance with Section A2.
A14. Cancellation of Membership by the Club
We will not tolerate abusive, threatening, intimidating or violent behaviour towards our staff, members or guests. Where such behaviour occurs, we reserve the right to report the matter to the police, to impose an immediate ban from the Club, and to cancel the membership with immediate effect.
We may also cancel your membership in any of the following circumstances:
- you or a Linked Member materially or repeatedly breaches this agreement or the Club's rules and fails to remedy the breach within seven days of written notice from us;
- another person uses your membership card or token with your knowledge or permission, or uses a Linked Member's card with that Linked Member's knowledge or permission;
- you, a Linked Member, or a guest uses offensive or abusive language, or behaves or threatens to behave in a violent or aggressive manner at the Club;
- neither you nor any Linked Member uses the Club's facilities for a continuous period of more than 12 calendar months.
If we receive a complaint about your conduct or that of a Linked Member, or if we believe that your continued membership is not in the interests of other members, we may suspend your membership pending investigation. You have a right of appeal unless the conduct falls within the paragraphs above. If the matter cannot be resolved following appeal, we may cancel your membership.
Where we cancel your membership, we reserve the right to retain a reasonable proportion of any fees paid to cover costs incurred. We may decline any future membership application from you and refuse you entry to the Club as a guest or visitor.
A15. Non-Payment of Membership Fees
If you fail to pay your membership fee when due, we will contact you to notify you of the arrears. Where you pay by direct debit, we will re-present the payment request later in the same month. If that attempt is unsuccessful, we will seek to collect both the missed payment and the following month's payment in the subsequent month.
We may refer outstanding amounts, including any future payments due under the agreement, to a debt recovery agency.
If your membership payments remain outstanding for more than 14 days, an administration fee of £75 will be charged. A further fee of £20 will apply for each subsequent missed payment.
Non-payment may result in suspension of access for you and any Linked Members, but does not of itself constitute termination of your membership. Cancellation of your direct debit does not constitute notice to end your membership.
A16. Changes to Membership Fees and These Terms
We may increase membership fees automatically each year by up to RPI + 3%. The rate of inflation is the Retail Prices Index. All Items 12-month percentage change published by the Office for National Statistics.
Where we intend to increase fees beyond this threshold, we will use reasonable endeavours to give you at least one month's written notice.
We may also increase fees at any time to reflect an increase in the applicable rate of VAT, with reasonable prior notice.
We may make reasonable amendments to these terms and conditions at any time, subject to giving you advance notice. We may assign or transfer our rights and obligations under this agreement to another organisation without prior notice to you, and your membership will continue on the same terms. If the successor organisation materially fails to provide equivalent facilities and services, you may end your membership by written notice.
A17. Changes to the Club's Facilities
If we decide to relocate or permanently close the Club, we will use reasonable endeavours to give you at least three months' notice, either in writing or by notice displayed at the Club. You may then end your membership or, where applicable, transfer to another facility under arrangements we make available.
We reserve the right to temporarily or permanently withdraw, reduce or alter facilities, services or activities (for example, for maintenance, refurbishment or operational reasons).
If we permanently withdraw the pool or entire gym, we will use reasonable endeavours to give you one month's written notice.
If the Club is closed for more than seven consecutive days and we do not provide an alternative facility within 30 miles of the Club, we will refund a pro-rata proportion of your membership fees for the closure period, excluding the first seven days. This does not apply to closures caused by circumstances outside our control.
Opening hours are displayed at reception and on our website. Opening hours may vary during public holidays and over the Christmas and New Year period. We will endeavour to give at least one month's advance notice of any reduction to regular opening hours.
A18. Complaints
We are committed to providing a high standard of service. If you have a complaint, we encourage you to raise it as soon as possible so that we can address it promptly.
In the first instance, please raise your concern with any member of the Firefly team. If you remain dissatisfied, please ask to speak to the duty manager, and thereafter to the General Manager. If you are still not satisfied, you may submit a written complaint to Falco 1 Ltd at the registered address set out at the beginning of this document.
A19. Liability
We do not accept liability for loss of or damage to your property or that of your guests on the Club's premises or in the car park, except where such loss or damage arises from our negligence or failure to exercise reasonable care.
We do not accept liability for personal injury to or death of any member, child or guest on the Club's premises, except where such injury or death arises from our negligence or failure to exercise reasonable care.
Nothing in these terms and conditions is intended to restrict or exclude any rights you have as a consumer under applicable law.
A20. Data Protection
We process personal data in accordance with our Privacy Policy and in compliance with the UK General Data Protection Regulation and the Data Protection Act 2018. A copy of our Privacy Policy is available at reception and on our website.
If you wish to access, correct, or otherwise exercise your rights in respect of the personal data we hold about you, please refer to the procedures set out in our Privacy Policy or contact us directly.
A21. Children
Children are welcome at the Club and must conduct themselves appropriately at all times. They must not behave in a way that places themselves or others at risk or that interferes with the enjoyment of other members. We reserve the right to speak with the responsible adult or the child if behaviour is a concern.
Family Access & Daily Rhythms. Firefly operates a daily rhythm of structured access periods. By signing this Agreement, the Lead Member acknowledges and accepts the following:
- the Family Window for children is 09:00 – 19:00 daily, during which children under 18 may use the facilities accompanied by a responsible adult Member;
- 08:00 – 09:00 and 19:00 – 20:00 are adults-led periods, with no child access to the pool, spa, sauna, or cold plunge during these times;
- children are not included within Local Resident Membership and visit on a guest pass, with one pass required per child visit, or the daily child rate available at reception;
- the restaurant welcomes children throughout the day and into the evening, independently of the Family Window.
If a child's behaviour continues to cause concern across one or more visits, we will seek to resolve the matter in discussion with the responsible adult. If the issue cannot be resolved, we may suspend that child from the Club.
Any appeal against a suspension of a child member should be made in writing to the Manager.
PART B · RULES AND REGULATIONS FOR USING THE CLUB
Definitions
- "You" — any person using the Club's facilities under a membership or as a guest.
- "We" and "Us" — Firefly at Silverlake, operated by Falco 1 Ltd.
B1. General Health and Safety
Your safety is our primary concern. Please observe all health and safety signage throughout the Club. If you are unsure about any notice or instruction, please ask a member of the team.
- Crockery and glassware must not be taken outside the designated restaurant area.
- Animals are only permitted in the restaurant veranda, with the exception of registered assistance dogs.
- In the event of a fire alarm, please leave the building promptly via the nearest available fire exit and proceed to the assembly point as directed.
- Any accident or injury sustained on the premises must be reported immediately to the most senior member of staff on duty.
- Smoking and the use of e-cigarettes or vaping devices are not permitted anywhere within the Firefly or on its grounds.
- you are expected to behave respectfully, courteously, and appropriately at all times. Appropriate dress must be worn in all areas of the Firefly facility. We reserve the right to refuse entry or to ask a member or guest to leave if behaviour or dress is inappropriate.
- Please do not attend the Club if you are suffering from an infectious illness or condition.
- Appropriate footwear must be worn.
B2. Children's Safety
Children aged 16 or under must be accompanied and supervised at all times by a member aged 18 or over, unless they are participating in an organised supervised activity.
In changing rooms where family facilities are not available, children over the age of eight may use the relevant single-sex changing room without supervision.
For supervised activities, children must be registered with the activity leader, who must also be informed of who will collect the child. We will not release a child to any unauthorised person.
Parents and guardians must complete registration forms for all children before supervised activities. Children must not attend if they have an infectious illness or condition.
Children aged 14 or under may not use the sauna.
In line with BISHTA (British and Irish Spa and Hot Tub Association) guidance, children under the age of 16 may not use the ice bath.
Children under the age of 12 may not use the gym. Children aged 12 to 16 may only use the gym as part of an organised programme for the appropriate age group.
B3. Car Parking
The car park is available to members and guests during their visit to the Firefly. Please park only in designated spaces. Blue Badge spaces must not be used by those who do not hold a valid Blue Badge.
We cannot guarantee parking availability. Vehicles and their contents are parked entirely at the owner's risk. We accept no liability for loss or damage to vehicles or belongings in the car park.
B4. Swimming Pool, Spa, Sauna, and Cold Plunge
For health and hygiene reasons, all members and guests must shower and use the toilet before entering the pool, spa, sauna or cold plunge.
You must follow all poolside rules, safety notices, and instructions from lifeguards or staff at all times.
Certain times may be reserved for specific activities such as lane swimming, aqua classes, or children's lessons. Notice of these sessions will be displayed on the noticeboard and website.
- Fins, flippers, radios and inflatable loungers are not permitted in the pools.
- Shaving, exfoliation, use of oils, conditioners, or consumption of food and drink are not permitted in the pool, spa, sauna or ice bath.
- Children aged three and under must wear appropriate swimming nappies.
- Children aged 16 and under must be accompanied in the pool and pool area by an adult member at all times, even when a lifeguard is present. Children aged 10 and above may swim unaccompanied during designated family swim sessions if they have completed an approved competence assessment, which is held on record by Firefly.
One adult should not supervise more than three children in the pool area at any one time.
Please observe recommended limits when using the sauna and cold plunge
B5. Lake and Water Use
Eligibility and access. Use of the lakes and associated facilities is strictly limited to Silverlake homeowners and their guests, approved Spa members, and authorised day guests attending booked Spa or Firefly experiences. Access is granted on a revocable, non-transferable basis and may be withdrawn at any time by the Estate or Spa management. Guests must only access designated areas and comply with all signage and staff instructions.
Nature of facility. The lakes form part of a private, natural environment. They are not public swimming facilities and are not continuously supervised or lifeguarded. All use is therefore undertaken at the guest's own risk.
Assumption of risk. By using or accessing the lakes, guests acknowledge and accept that open water presents inherent risks, including cold water shock, slips, trips and uneven ground, variable depths, submerged hazards and water quality variations. Such risks may result in injury, illness or, in extreme cases, death. Guests confirm that they are physically and medically fit to participate, competent swimmers where entering the water, and responsible for assessing their own ability and conditions.
Supervision and responsibility. Children under 16 must be actively supervised at all times by a responsible adult. The Spa and Estate do not provide supervision unless explicitly stated. Guests must not enter the water under the influence of alcohol or drugs.
Permitted use of lakes. Guests must only swim in designated and approved areas, only use approved equipment where applicable, and follow all estate activity restrictions, seasonal limitations and staff guidance. Use of personal watercraft or inflatables, access outside designated zones, diving or jumping from unauthorised structures, and fishing without an appropriate licence and prior consent are prohibited unless expressly authorised.
Hygiene and environmental protection. To protect water quality and the estate environment, guests must shower before entering the water where facilities are provided, avoid contaminating the water, including through the use of lotions or oils where advised, respect wildlife and natural habitats, and remove all litter.
Safety equipment and emergency response. Safety equipment, including throwlines, is provided in certain areas. Guests are responsible for familiarising themselves with its location. In the event of an emergency, guests must call for assistance immediately and follow emergency procedures and staff instructions where present.
Limitation of liability. To the fullest extent permitted by law, the Spa, Firefly Restaurant, Habitat First Group and associated entities shall not be liable for any loss, injury or damage arising from use of the lakes or surrounding areas, or participation in water-based or recreational activities. This includes both direct and indirect loss. Nothing in these terms excludes liability for death or personal injury caused by negligence, or any liability that cannot legally be excluded.
Compliance. Failure to comply with these lake and water use terms may result in immediate removal from the lake area, termination of Spa access, and cancellation of membership or day access without refund.
B6. Lockers and Personal Belongings
All personal belongings are brought to the Club at your own risk. We accept no responsibility for loss or damage to personal property.
If you lose a locker key or padlock, a replacement fee of £25 will apply.
Belongings left in a locker overnight may be removed. Removed items may be collected from reception for up to two weeks after removal, after which we cannot be held responsible for them.
Lost property found at the Club should be handed to reception immediately. Details of lost property collection times are displayed on the Club's noticeboard.
Lost property will be held for three weeks before being donated to charity. High-value items will be held for 3 months (Jewellery, electronics)
B7. Gym and Fitness Facilities
Before using the gym or fitness equipment for the first time, you will be asked to complete a health commitment statement.
Exercise programmes are set only by qualified fitness professionals.
If you have any concerns about your physical health or fitness, please seek medical advice before undertaking strenuous exercise.
You should warm up before and cool down after every exercise session. You are responsible for monitoring your own physical condition during exercise. If you experience any unusual symptoms, stop immediately and inform a member of the fitness team.
Please inform the Manager or a fitness coach of any relevant medical information when you join, and keep this information updated throughout your membership.
B8. Spa Treatments and Beauty Services
Bookings for spa treatments and beauty services are subject to the Club's separate booking and cancellation policy, available at reception. Cancellation policies for spa treatments apply separately to the membership terms set out in Part A.
B9. Bookings
Advance bookings for classes, courts, and facilities may be made in accordance with the booking procedures displayed at reception and on the website. Booking rules form part of these terms and conditions and include details of how and when bookings may be made and any information required from you.
We may update our booking procedures from time to time. Current procedures are available at reception and on the Club's website.
B10. Photography and Video Recording
You may take photographs or videos in the Firefly for personal, non-commercial use, provided that:
- you do not photograph or film any person under the age of 18 other than your own child or a child in your care;
- you obtain the prior consent of anyone who appears in your photographs or footage;
- you do not take photographs or videos in changing areas, pool areas, saunas, spas, toilets, or children's areas; and
- if a member of staff asks you to stop filming or to delete images, you comply immediately.
If another member objects to being filmed and makes a complaint, we may ask you to show us the relevant images and to delete them if appropriate.
B11. Food and Drink
Only food and beverages purchased at Firefly may be consumed at the facility. External food and drink may not be brought onto the premises without prior agreement from management.
B12. General Conduct
All members and guests are expected to treat fellow members, guests, and Club staff with courtesy and respect at all times. Any behaviour that is abusive, threatening, discriminatory, or otherwise offensive will not be tolerated and may result in removal from the Club and cancellation of membership.
Governing Law
These terms and conditions are governed by the laws of England and Wales. Any disputes arising under or in connection with them are subject to the exclusive jurisdiction of the courts of England and Wales.
